AGORA AI Terms of Service

These Terms constitute a legal agreement between AGORA AI LLC ("AGORA," "we," or "us") and the entity or person ("Customer," "you," or "User") who registers for or uses our AI-powered outbound sales platform services ("Services").

AGORA facilitates relationships between three parties: AGORA (Platform operator and technology provider), Business Clients (Companies uploading leads and campaigns), and Gig Agents (Independent contractors making outbound calls).

1. Acceptance of Terms

By registering for or using our Services, you acknowledge that you are authorized to enter into this Agreement on behalf of yourself or your company. This Agreement supersedes any prior agreements between the parties.

BY SELECTING THE 'I ACCEPT' BUTTON OR BY ACCESSING, USING, OR AVAILING YOURSELF OF THE SERVICES IN ANY MANNER, YOU AGREE TO BE BOUND BY ALL TERMS, CONDITIONS, AND NOTICES CONTAINED OR REFERENCED IN THIS AGREEMENT.

IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MUST NOT ACCESS OR USE ANY AGORA SERVICES.

2. Service Definition & Business Model

AGORA operates as an AI-powered outbound sales platform that connects businesses with qualified leads to a distributed network of trained freelance sales agents ('Gig Agents').

Our platform provides mobile-first calling infrastructure powered by Twilio, real-time AI coaching and dynamic script generation via OpenAI, call recording, scoring, and performance analytics, campaign management and lead distribution systems, and gamified agent training and performance tracking.

AGORA acts as a platform facilitator and technology provider, not as a direct sales agency or employer of agents. We provide the infrastructure, tools, and matching services but do not guarantee specific sales outcomes or control agent performance beyond our platform standards.

3. Business Client Requirements

Businesses must provide accurate company information, authorized contact details, and valid payment methods. Only authorized representatives may create accounts on behalf of companies.

All uploaded leads must be legally obtained with appropriate consent for contact. Businesses warrant that leads have opted-in to receive communications or meet applicable legal standards.

All campaign scripts and materials must comply with applicable laws and regulations. Content must not be defamatory, misleading, discriminatory, or otherwise inappropriate.

Businesses agree to pay fees according to selected pricing model (flat subscription, pay-per-call, or commission-based). Payment terms are net-15 days from invoice date unless otherwise specified.

4. Gig Agent Requirements

Agents are independent contractors, not employees of AGORA. Agents maintain flexibility in when and how often they work. Compensation is performance-based, not time-based.

Agents must be at least 18 years old and legally authorized to work in the United States. Must complete AGORA's training program and pass performance assessments.

Minimum performance metrics include call quality scores, conversion rates, and professional conduct ratings. Agents must follow approved scripts and campaign guidelines.

Compensation guaranteed at minimum $16/hour effective rate based on successful call completion.

5. Telemarketing Compliance & Legal Requirements

Business Clients are solely responsible for ensuring leads have provided appropriate consent. All calls must comply with Telephone Consumer Protection Act (TCPA) requirements.

Business Clients must scrub leads against Do Not Call Registry before upload. AGORA provides tools to assist with compliance but responsibility remains with Business Clients.

Businesses in regulated industries (real estate, solar, insurance, financial services) must ensure additional compliance with industry-specific regulations.

AGORA will terminate campaigns immediately upon notice of TCPA violations.

6. Data Rights & AI Training

All calls may be recorded for quality assurance, training, and AI improvement. Business Clients and prospects consent to recording by using the platform.

Business Client data remains owned by the Business Client. AGORA maintains strict confidentiality of client lead data.

Call data, recordings, and outcomes may be used to improve AI coaching algorithms. All data used for AI training is anonymized and aggregated.

Call recordings are retained for 180 days unless legally required otherwise.

7. Performance Disclaimers & Results

AGORA MAKES NO GUARANTEES REGARDING: Sales conversion rates or revenue generation, lead quality or accuracy of prospect information, agent performance consistency across campaigns, market conditions or industry-specific factors affecting results, or specific appointment-setting or demo-booking rates.

AI coaching effectiveness varies by industry, agent, and campaign type. AI recommendations are suggestions, not guarantees of success.

AGORA provides services on an 'as is' and 'as available' basis. System downtime or technical issues may impact campaign performance.

8. Pricing & Payment Terms

Flat Monthly Subscription ($500/month): Predictable monthly fee for consistent calling volume. Includes platform access, AI coaching, and standard support.

Pay-Per-Call Model: Variable pricing based on agent selection and call complexity. Higher-performing agents command premium rates.

Commission-Based Model (1% of closed sales): Payment based on verified sales outcomes. Commission calculated on final sale amount.

All payments processed through Stripe or approved payment processors. Business Clients responsible for all transaction fees.

9. Liability Limitations

TO THE FULLEST EXTENT PERMITTED BY LAW, AGORA'S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE LESSER OF: Amount paid by Customer to AGORA in the six (6) months preceding the claim, OR $1,000.

AGORA SHALL NOT BE LIABLE FOR: Lost sales opportunities or revenue, agent conduct during calls beyond platform violations, third-party claims regarding call content or lead quality, system downtime or technical issues beyond our reasonable control, or consequential, indirect, incidental, or punitive damages.

Business Clients agree to indemnify, defend, and hold harmless AGORA from claims arising from accuracy and legality of uploaded lead data, compliance with industry-specific regulations, content of approved campaign materials, and violations of telemarketing laws or consent requirements.

10. Termination & Dispute Resolution

Either party may terminate this Agreement for any reason with thirty (30) days written notice, or immediately for material breach after opportunity to cure.

All disputes arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in Delaware.

Both parties waive any right to participate in class actions or collective proceedings. All disputes must be resolved on an individual basis.

This Agreement is governed by Delaware law without regard to conflict of law principles.

Platform Abuse Prevention

Prohibited Business Activities

  • Uploading fake, invalid, or non-consented lead data
  • Requesting agents to violate applicable laws
  • Gaming performance metrics
  • Circumventing payment requirements

Prohibited Agent Activities

  • Making unauthorized calls outside campaigns
  • Violating script guidelines
  • Misrepresenting themselves or clients
  • Using platform for personal benefit
